TMC Life Sciences dismisses GCEO Wan Nadiah with immediate effect

KUALA LUMPUR: Wan Nadiah Wan Mohd Abdullah Yaakob, who was removed from TMC Life Sciences Bhd's board yesterday, has been dismissed as group chief executive officer (GCEO) of the company today.

In a filing with Bursa Malaysia Securities, TMC Life Sciences said in arriving at the decision of dismissal, the company deliberated on Wan Nadiah's years of service, performance records and her mitigation letter, as well as the findings of the Independent Domestic Inquiry Panel on the five allegations of misconduct levelled against her as GCEO of TMC Life Sciences and CEO of Thomson Hospitals Sdn Bhd.

Wan Nadiah in a 3-paged media statement said she will submit an appeal against the decision and will issue another statement in due course. 

She said since her suspension on Jan 29, 2024 she has continued to serve not only as an employee but also as a director of the company, including attending board meetings, discussing board matters, signing board resolutions and attending the company's annual general meeting on Nov 6, 2024.

Explaining the sequence of events, Wan Nadiah said the domestic inquiry into allegations of misconduct by her concluded on Nov 28, 2024.

"On 3rd December 2024, I was informed by the company that the domestic inquiry panel had found me guilty of the remaining five charges and an announcement was made on the 4th of December 2024," she said.

According to Wan Nadiah, during the extraordinary general meeting on Dec 9, 2024, 41.3 per cent of shareholders who were present in the meeting holding 0.02 per cent of voting shares rejected the resolution while 58.7 per cent of present shareholders holding 99.98 per cent voted in support of the resolution to remove her as an executive director.

"I wish to confirm that I have not been accused of any crime, criminal breach of trust, financial mismanagement or integrity related issues. In any event, I continue to firmly deny all the allegations of misconduct the company has made against me and will be exploring all available options for a fair resolution, including seeking legal recourse," she said.

"I am disappointed with the turn of events which have led to my departure

from the company which I have loyally served since 2017," Wan Nadiah added.
